A registered association under Finnish law

Mikkelin auto- ja konealan ammattiosasto ry is a registered non-profit association established under the Finnish Associations Act and entered in the register of associations under registration number 17780955. As a registered association it possesses independent legal personality: it enters into agreements, holds assets and bears obligations in its own name. Its purpose, membership criteria, decision-making bodies and dissolution procedure are defined in its adopted rules.

The association is non-profit in both purpose and practice. It does not pursue financial gain, does not distribute surplus to members, officers or board members, and applies all resources to its stated purposes. Members of the executive board serve the association in an elected capacity and are accountable to the general meeting for their stewardship.

Decision-making

Governance structure and meeting cycle

  • General meeting. The highest decision-making body, open to all members in good standing. It approves the annual report and financial statement, decides on discharge of liability, adopts the action plan and budget, sets the membership fee and elects the board and the auditor.
  • Executive board. Elected by the general meeting; comprises the chairperson, vice chairperson and ordinary members, with a secretary and a treasurer. The board administers the association between general meetings, prepares matters for decision, supervises finances and represents the association externally. Board meetings are minuted and the minutes are archived.
  • Committees. Standing committees for training and competence, occupational safety, member welfare and communications. Each committee keeps written records and reports to the board.
  • Workplace representatives. Members elected or appointed to act as the association's contact point in individual workplaces, raising local matters and assisting colleagues at first instance.

Resources

How member resources and activities are managed

The association is funded principally by membership fees determined by the general meeting, supplemented where applicable by training and event participation contributions, grants and lawful support received for specific programme purposes. All income is received into the association's own bank accounts; no funds are held in the personal accounts of officers.

Expenditure is authorised in accordance with the approved budget and the association's internal financial rules. Payments require the approval of the responsible officer and the treasurer, with the principle of dual control applied to disbursements above the threshold set by the board. All transactions are supported by documentation and recorded in the association's bookkeeping, which is maintained in accordance with Finnish accounting requirements.

A financial statement is prepared for each financial year and examined by the auditor or performance auditor elected by the general meeting. The audit report is presented to the annual general meeting together with the annual report of activities. Members may request to inspect the financial statement, the annual report and the minutes of general meetings by writing to info@mikkeliautokone.blog.

Board members and officers are required to declare any conflict of interest and to abstain from decisions in which they have a personal interest. Such declarations are recorded in the minutes. Members of the association do not receive any distribution of assets; reimbursement is limited to documented and approved expenses incurred on behalf of the association.

Documentation, retention and member information

The association maintains a member register, minutes of general and board meetings, accounting records with supporting documents, training and event records, and correspondence relating to advisory cases. Records are retained for the periods required by Finnish law and by the association's own retention practice, and are then securely destroyed. Personal data is processed lawfully and solely for the purposes described in our Privacy Policy; enquiries regarding data protection are received at info@mikkeliautokone.blog.
